Grup TCB signs the purchase of the Castellón Multipurpose Terminal

Grup TCB, a leading company in the design and management of port terminals, has signed the definitive acquisition of the Castellón Multipurpose Terminal, S.A. (TPC) after the competent authorities, including the Port Authority of Castellón, have agreed to the purchase.

Grup TCB has appointed Victor Muñoz as CEO of the new company. Muñoz, a captain of the Spanish Merchant Navy with a doctorate in nautical engineering from the UPC (Polytechnic University of Catalonia), has a long history within the organisation. In his 21 years at Grup TCB, he has led several projects, including the implementation of the Paranaguá Terminal (assistant to general management between 2000 and 2002), director of operations at Grup TCB between 2007 and 2009 and CEO of TCBuen (Colombia) between 2010 and 2014. “We came to Castellón with the aim of enhancing the growth prospects of the terminal thanks to a strong commitment to its competitiveness,” he states.

Grup TCB agreed the operation last April with the owners of the terminal, after completing negotiations with the majority shareholder, Globalvia. With this acquisition, the company consolidates its leadership on the Mediterranean coast, where it owns the maritime and railway terminals of Barcelona and Valencia.

TPC handles about 80% of all TEUs processed in the Port of Castellón and is an important export platform for the region. Under Globalvia’s management, the terminal has recently achieved the ISO 9001 quality certificate and in 2014 increased its container traffic by 5%, reaching 162,000 movements. It has a 970-metre berthing line, a maximum depth of 14 meters, modern facilities and direct rail access to ensure quick inland connection.

According to Xavier Soucheiron, Grup TCB’s CEO, “we will promote a growth plan in the Castellón Multipurpose Terminal based on modernisation and operational efficiency. TPC will allow us to consolidate the overall export and import services we offer our customers who operate in Spain or who call at our ports to communicate with Africa, Asia and the Arabian Gulf”.

New service for UK to be fastest direct connection between Australia and Northern Europe

The service will now provide direct calls between DP World London Gateway Port, King Abdullah port in Saudi Arabia, Colombo in Sri Lanka and ports around the Australian coast. It will be the fastest direct service between Northern Europe and Australia in the market. The call is a new trade lane into DP World London Gateway Port, further enhancing the suite of services on offer to UK importers and exporters. It is also a new service for the UK.

In full, the new rotation will call at DP World London Gateway Port, Antwerp, Le Havre, Fos-Sur-Mer, La Spezia, Naples, Gioia Tauro, Port Louis, Pointe des Galets, Sydney, Melbourne, Adelaide, Fremantle, Colombo, King Abdullah, Valencia, DP World London Gateway Port. MSC Roberta made her first stop at DP World London Gateway Port on Friday, August 7, marking the commencement of the weekly service.

Kelvin Wilden, Operations Director, MSC UK, said: “We are pleased to announce improvements to the Australia Express service in response to customer needs.

“The Australia Express will now provide direct calls between DP World London Gateway Port and Australia, offering the fastest direct service in the market connecting Oceania with the UK and North West Continent. This service improvement will complement our competitive transit times to all other global destinations, using MSC’s vast transshipment network of services.

“We already have a good working relationship with the DP World London Gateway team and this new service further enhances the extensive choice of ports that we offer to both our import and export customers.”

His Excellency Sultan Ahmed Bin Sulayem, Chairman, DP World, said: “We are delighted to have secured a call on the MSC Australia Express Service.

“This service offers some of the most competitive transits to the UK, not only from Australia but also from Colombo in Sri Lanka.

“MSC are already operating the South Africa service into DP World London Gateway Port, so it is testament to the good work being done here, that MSC is willing to add another service into the port.

“This is further evidence of just how compelling the proposition is at DP World London Gateway Port and Logistics Park. With excellent road, rail and sea access just 25 miles from central London, the use of cutting-edge port technology is both streamlining and bringing previously unmatched integrity and reliability to UK supply chains.”

The announcement by MSC follows the opening of Pentalver’s permanent, new five-acre depot at the port. Robert Goodwill, the Parliamentary Under Secretary of State for Transport also visited the port and logistics park recently to help
formally open the DP World London Gateway Logistics Centre.

Konecranes and Terex to merge

Under the agreement, Terex shareholders will receive 0.80 Konecranes shares for each existing Terex share (“Exchange Ratio”). Equivalent terms will apply to instruments granted under Terex’ long-term incentive plans. Upon closing of the transaction, based on current fully diluted shares outstanding, Terex shareholders will own approximately 60% and Konecranes shareholders will own approximately 40% of the combined company.

Some of the headlines:
– Combination of highly complementary businesses creates a leading global Lifting and Material Handling Solutions company with a well-balanced business and geographic profile
– With €7.5/$10.0 billion in combined 2014 revenues, the combined company, to be called Konecranes Terex Plc, will have critical scale to deliver outstanding technology innovation and enhanced service to customers
– Terex shareholders will receive 0.80 Konecranes shares for each existing Terex share, which is consistent with the average share-price implied exchange ratios over the past 3 and 6 months of 0.7921 and 0.7933, respectively
– At closing, expected during the first half of 2016, the combined company will be owned approximately 60% by Terex’ shareholders, and 40% by Konecranes’ shareholders; the transaction is expected to be accretive to the shareholders of both companies in first full year after closing
– Identified annual operational synergies of at least €110/$121 million EBIT contribution and additional €32/$35 million post-tax income benefit from financing, cash management and structure optimization, anticipated to be fully implemented within 3 years from closing
– Joint intention of Konecranes and Terex to execute a share buy-back program post closing of up to €1.4/$1.5 billion, split between ca. €456/$500 million as soon as possible after closing and up to an additional €0.9/$1.0 billion executed within 24 months after closing
– Enhanced capital structure and strong free cash flow expected to support growth with increased returns to shareholders, including maintenance of Konecranes dividend level
– Konecranes Terex to be incorporated in Finland, with headquarters in Hyvinkää, Finland and Westport, Connecticut, USA
– Konecranes’ current Chairman of the Board will become Konecranes Terex’ Chairman and the Terex CEO will become Konecranes Terex’ CEO. The nine-member Board will include five Directors to be nominated by Terex and four Directors to be nominated by Konecranes

Port of Hull shortlisted for prestigious transport industry award

Supported by the Department of Transport and Passenger Focus, the ceremony will take place on October 8 at Westminster Park Plaza, London, to honour the country’s leading transport service providers. ABP’s Alexandra Dock development, part of the wider Green Port Hull project, is up against last year’s winner, Port of Tyne, as well as ABP’s Port of Southampton, Peel Ports Group’s Port of Liverpool and Manchester Ship Canal and Port of Dover.

There are 19 other award categories including Rail Station of the Year, Freight Operator of the Year, Ferry Operator of the Year and Integrated Transport Authority of the Year. The awards ceremony will be hosted by impressionist Rory Bremner and feature a speech by keynote speaker Rt Hon Patrick McLoughlin MP, the Secretary of State for Transport. ABP Head of Projects Simon Brett said: “This is a truly transformational project and it’s very satisfying to see the work of our ABP team and those of Siemens and our main contractor the GRAHAM Lagan Construction Group Joint Venture, recognised by the Department for Transport and Passenger Focus.
